EULA - End User License Agreement

GETGO VIDEO CONVERTER 4.0 - END USER LICENSE AGREEMENT

BY INSTALLING AND USING THIS PRODUCT, YOU HEREBY AGREE TO THE FOLLOWING TERMS AND CONDITIONS OF GETGO SOFTWARE END USER LICENSE AGREEMENT (THE AGREEMENT). PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY.

1. LICENSE
1.1 DEFINITION - GetGo Video Converter 4.0 (the Product) is being provided to you by GetGo Software Ltd. (GetGo Software). Product means the computer software program that accompanies this Agreement and includes any available software user manuals, reference manuals and installation guides, or portions thereof, either in electronic or printed form, in any media whatsoever. Use of this Products means that You have loaded, installed, or run this Product on a computer or similar device. Backup Copy means one non-transferable copy of this Product created for archival purposes only that is not installed or Used on any computer or workstation (or number of users covered in a multi-user or site license) except for back-up use during emergency situations. Evaluation Version means that the version of this Software that You may evaluate without purchasing a license for a maximum of the number of calendar days that is specified (the "Evaluation Period") or until You have converted, ripped, burned, and uploaded on YouTube a maximum of the number of video files (the Video Files Number), whichever comes first.

1.2 GRANT - Subject to the terms and conditions of this Agreement, GetGo Software grants to you a limited, non-exclusive license to use or evaluate the Product in accordance with this Agreement and any other written agreement with GetGo Software. This Agreement is a legally binding agreement between GetGo Software and the user(s) of this Product. If you do not agree to the terms and conditions of this Agreement, you are required to immediately cease installing or using this Product and remove the Product and any documentation from your computer.

2. User Agreement
2.1 evaluation version use - You may evaluate this Software without purchasing a license (the Evaluation Version) for a maximum of 15 days (the Evaluation Period) or until You have converted, ripped, burned, and uploaded on YouTube a maximum of 10 video files (the Video Files Number), whichever comes first. On or before the expiration of the Evaluation Period and before exceeding the number of video files, You must purchase a license from GetGo Software (or an authorized reseller or distributor) to continue to use this Software, or You are required to remove this Software and any Back-Up Copy from Your computer immediately following the expiration of the Evaluation Period. 2.2 evaluation version DISTRIBUTION - The Evaluation Version of this Product may be freely distributed, provided that: (a) such distribution includes only the original archive supplied by GetGo Software. You may not alter, delete or add any files in the distribution archive or modify this Product in any way; (b) the limited evaluation nature of this Evaluation Version Product is not misrepresented; (c) no money is charged to the person receiving this Evaluation Version Product, beyond reasonable cost of packaging and other overhead; (d) You provide prior email or written notice to GetGo Software that You are distributing this Evaluation Version and, if this Product is being distributed with other media or software, GetGo Software's prior written approval is required. To obtain prior written approval, please contact GetGo Software at sales@getgosoft.com mailto:sales@getgosoft.com. You may be required to report to GetGo Software the number of units of this Evaluation Version Product distributed from time to time.

2.3 INSTALLATION AND USE - You are responsible for installation of this Product. Your license to use this Product is limited to the number of licenses purchased by You. For more information about purchasing additional licenses of this Product please contact an authorized reseller or GetGo Software directly at sales@getgosoft.com mailto:sales@getgosoft.com. You shall not allow others to Use, copy or evaluate copies of this Product. Others may obtain a copy of this Product from directly from http://www.getgosoft.com/.

2.4 Portable computer use - If You have purchased a license to use this Product and installed it on Your desktop computer, You may install a second copy of this Product on Your portable computer for Your exclusive use only.

2.5 Use Restrictions - You shall Use this Product in compliance with all applicable laws and not for any unlawful purpose. Each licensed copy of this Product may be used on one single computer location or workstation. If You install this Product onto a multi-user platform, server or network, each and every individual user of this Product must be licensed separately or included by a multi-user or site license. Others may not Use or install Your copy of this Product. The assignment, sublicense, networking, sale, or distribution of copies of this Product is strictly forbidden without the prior written consent of GetGo Software. It is a violation of this Agreement to assign, sell, share, loan, rent, lease, borrow, network or transfer the Use of this Product.

2.6 TRANSFER - Unless otherwise authorized herein, this Product and the license herein granted shall not be copied, shared, distributed, re-sold, offered for re-sale, transferred or sub-licensed in whole or in part except that You may make one Backup Copy for back-up use during emergency situations.

2.7 Copyright Restriction - This Product contains copyrighted material, trade secrets and other proprietary material. You shall not, and shall not attempt to, modify, reverse engineer, disassemble or decompile this Product. Nor shall you create any derivative works or other works that are based upon or derived from the Product in whole or in part.
GetGo Software retains sole and exclusive ownership of all right, title and interest in and to the Product and all Intellectual Property rights relating thereto including without limitation GetGo Software's name, logo and graphics file that represents this Product. Copyright law and international copyright treaty provisions protect all parts of this Product. No program, code, part, image, or text may be copied or used in any way by the user except as intended within the bounds of this Agreement. All rights not expressly granted hereunder are reserved for GetGo Software.

2.8 Limitation of Liability and Responsibility - You will indemnify, hold harmless, and defend GetGo Software, its employees, directors, officers, and authorized agents against any and all claims, proceedings, demand and costs resulting from or in any way connected with your use of the Product. In no event (including, without limitation, in the event of negligence) will GetGo Software, its employees, directors, officers, or authorized agents be liable for any consequential, incidental, direct, indirect, special or punitive damages whatsoever (including, without limitation, damages for loss of profits, loss of use, business interruption, loss of information or data, or pecuniary loss), in connection with or arising out of or related to this Agreement, this Product or the use or inability to use this Product or the furnishing, performance or use of any other matters hereunder whether based upon contract, tort or any other theory including negligence.

THE PRODUCT IS PROVIDED AS IS WITH NO WARRANTIES EXCEPT AS OTHERWISE SPECIFIED HEREIN. GETGO SOFTWARE MAKES NO WARRANTY, EXPRESS OR IMPLIED, ORAL OR WRITTEN, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

GETGO SOFTWARE DOES NOT WARRANT THAT (I) THE PRODUCT WILL MEET YOUR REQUIREMENTS, (II) THE PRODUCT WILL BE ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PRODUCT WILL BE ACCURATE OR RELIABLE, AND (V) ANY ERRORS IN THE PRODUCT WILL BE CORRECTED.
2.9 Governing Law - This Agreement shall be governed exclusively by the laws of the Province of British Columbia and the laws of Canada applicable therein except any principles regarding conflicts of law rules and the United Nations Convention on Contracts for the International Sale of Goods. You hereby irrevocably attorn and submit to the non-exclusive jurisdiction of the courts of Victoria, British Columbia, and any competent Courts of Appeal therefrom. The failure of GetGo Software to exercise or enforce at any time any of the provisions of this Agreement, or the failure to require at any time performance by you of any of the provisions of this Agreement, shall in no way be construed to be a present or future waiver of such provisions, nor in any way affect GetGo Software's ability to enforce each and every such provision thereafter. If any provision shall be considered unlawful, void or otherwise unenforceable, then that provision shall be deemed severable from this Agreement and not affect the validity and enforceability of any other provisions.

2.10 Termination - Any failure to comply with the terms and conditions of this Agreement will result in automatic and immediate termination of this license by GetGo Software. Should you wish to terminate this Agreement at any time, simply cease your use of the Product and uninstall it from your computer, workstation, or similar supported device. GetGo Software reserves the right to terminate this Agreement and the licenses granted herein at any time without cause. Upon termination of this Agreement or the license granted herein for any reason, you agree to immediately cease use of the Product and destroy all copies of the Product supplied under this Agreement. The financial obligations incurred by you, if any, shall survive the expiration or termination of this license.

3. GENERAL PROVISIONS - No failure or delay in enforcing any right or exercising will be deemed a waiver of any right or remedy. If any provision of this Agreement is unenforceable or invalid for any reason whatever, such unenforceability or invalidity shall not affect the enforceability or validity of the remaining provisions of this Agreement and such provision shall be severable from the remainder of this Agreement. This Agreement constitutes the entire agreement between You and GetGo Software with respect to the subject matter hereof and supersedes all prior and contemporaneous proposals, agreements, understandings, representations and communications, whether oral or written. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns. The English version of this Agreement shall be used for interpreting and construing the meanings of any provisions herein

4. Consent to Use of Data SOFTWARE UPDATES - You agree that GetGo Software may collect and use information transmitted by you through the Product and/or gathered in any manner as part of the product support services provided to you, if any, related to the Product. You are not obligated to transmit any information if you choose not to do so when prompted. GetGo Software may also use any information collected to provide notices to you which may be of use or interest to you. The Product contains components that enable and facilitate the use of certain Internet-based services. You acknowledge and agree that GetGo Software may automatically check the version of the Product that you are utilizing and may provide updates, upgrades, or fixes to the Product if applicable to enhance your download experience. In order to receive such updates, upgrades or fixes, you agree to the download when prompted. You are not obligated to download any upgrades or fixes to the Product that are provided by GetGo Software nor is GetGo Software obligated to provide Product maintenance, support, or updates to you. GetGo Software will not collect any personally identifiable information from your computer location or workstation during this process.
